How to Buy an Existing HVAC or Plumbing Business (Due Diligence Guide)

Buying an existing HVAC or plumbing business can be a faster path to scale than building from scratch — you get customers, revenue, and a team on day one. But you can also inherit hidden problems that sink the deal. Here’s a due-diligence guide to buying an existing service business without getting burned.

Acquisitions are complex and high-stakes — this is general information, not financial, legal, or M&A advice. Use an M&A advisor, CPA, and attorney.

Why buy instead of build

An acquisition gives you an instant book of business, existing cash flow, trained techs, and an established reputation — skipping the slow, uncertain startup phase. It can also be a smart way to expand into a new area or add a service line (expanding to a new city). The catch: you’re buying whatever is really under the hood, good and bad — which is why due diligence is everything.

What to examine in due diligence

Financials (verify, don’t trust)

  • Real, verified financials — several years of tax returns and statements, not just a spreadsheet.
  • True earnings (EBITDA/SDE) and the multiple you’re paying (valuation).
  • Add-backs — confirm claimed owner add-backs are legitimate.
  • Margins and pricing — are they healthy or propped up? (margins)
  • AR and cash flow — collections health (cash flow).

The business itself

  • Customer base — concentration risk, recurring vs. one-off, membership base.
  • Reputation — reviews, complaints, and brand health (a bad online reputation is a real liability).
  • Owner dependence — will customers and revenue survive the owner leaving?
  • The team — will key techs stay? Culture and comp (turnover risk).
  • Systems — is it run on real systems or the owner’s head? (systems)

Legal & risk

  • Licenses, permits, contracts, leases — transferable? (licensing)
  • Liabilities — debts, lawsuits, warranty obligations, tax issues.
  • Insurance and any pending claims.

Structuring the deal

  1. Asset vs. stock purchase — big tax/liability implications; get advice.
  2. Earnouts & seller financing — align the seller with a smooth transition.
  3. Transition plan — keep the seller involved long enough to hand off relationships.
  4. Retain the team — a mass exodus of techs guts what you bought.

Reputation is the asset you’re really buying

Much of a service business’s value lives in its reputation — the reviews and brand that keep customers coming. Scrutinize it in diligence (a weak or fake-looking review profile is a red flag), and once you own the business, keep that engine running. Tailwind maintains and grows that reputation automatically after every job — see how it works.
