IMPORTANT NOTICE: THIS IS A LEGALLY-BINDING CONTRACT. BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE TAILWIND REVIEWS WEBSITE, PLATFORM, OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN FULL.

Description of Services

Tailwind Reviews is a digital platform that helps businesses manage their online reputation by aggregating, monitoring, and responding to customer reviews. The platform integrates with third-party services, including Google Business Profile, to provide review management, analytics, and response tools.

Key Definitions

Account: An account created by the Customer allowing the Customer to access and use the Services.

Customer: A legal or natural person who has created an account with Tailwind Reviews to use the Platform and its Services.

Platform: The Tailwind Reviews website, applications, and all related tools and services.

Services: All Tailwind Reviews services, including review management, analytics, business profile integration, and related features provided through the Platform.

Updates to Terms of Service

These Terms of Service may be amended by Tailwind Reviews at any time by providing notice through the Website or by sending an email to the address associated with your Account. Material changes will require your express acceptance before continuing to use the Services.

Customer Account and Platform Use

Eligibility: You represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Account: Customers must sign up for a personalized account. You agree to submit accurate, current, and complete information and keep this information updated. Tailwind Reviews reserves the right to suspend or terminate Accounts which contain information that is untrue, inaccurate, or incomplete.

Third-Party Integrations

The Tailwind Reviews Platform integrates with third-party services, including Google API Services, to provide review management features. By connecting your Google account, you authorize Tailwind Reviews to access and use data from your Google account in accordance with these Terms and our Privacy Policy.

Tailwind Reviews' use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. For details on what Google data we access and how we use it, please refer to our Privacy Policy.

You may revoke Tailwind Reviews' access to your Google account data at any time through your Platform settings or via your Google Account permissions.

Price and Payment Terms

All Services are subject to the pricing displayed at the time of purchase or subscription. All payments are processed through a third-party payment processor designated by Tailwind Reviews. In the event of non-payment, Tailwind Reviews reserves the right to suspend or restrict access to the Services until the outstanding balance is paid.

Dispute Resolution and Binding Arbitration

You and Tailwind Reviews agree to resolve any disputes arising out of or relating to these Terms through final and binding arbitration, except as otherwise expressly provided. Before initiating arbitration, you and Tailwind Reviews agree to first attempt to resolve any dispute informally for at least thirty (30) days.

Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TAILWIND REVIEWS AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ONLY IN YOUR OR TAILWIND REVIEWS' INDIVIDUAL CAPACITY AND NOT AS A CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION.

Intellectual Property Rights

All intellectual property rights in the Tailwind Reviews name, logo, website, and platform content are owned by or licensed to Tailwind Reviews. Customers may not copy, modify, distribute, or use any part of the Platform for any purpose other than as expressly authorized under these Terms.

Indemnification

By entering into these Terms, the Customer agrees to defend, indemnify and hold Tailwind Reviews and its affiliates harmless from and against any and all claims, costs, damages, losses, liabilities and expenses arising out of or in connection with the Customer's violation of these Terms or applicable law.

Disclaimers; Limitations of Liability

THE TAILWIND REVIEWS PLATFORM, WEBSITE, AND/OR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, Tailwind Reviews shall not be liable to the Customer for any indirect, incidental, consequential, special, or punitive damages. The total aggregate liability of Tailwind Reviews shall not exceed the total amount paid by the Customer for the specific Service giving rise to the claim, or one thousand U.S. Dollars (USD $1,000), whichever is lower.

Privacy Policy

Tailwind Reviews processes Customer personal data in accordance with its Privacy Policy which is hereby incorporated by reference. The Privacy Policy can be found at https://tailwind.reviews/privacy.

Miscellaneous

Assignment: Tailwind Reviews may assign these Terms at any time. Customer may not assign any rights or obligations under these Terms without Tailwind Reviews' prior written consent.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such invalidity will not affect any other provision.

Entire Agreement: These Terms, together with the Tailwind Reviews Privacy Policy, constitute the entire agreement between Tailwind Reviews and the Customer.
