Private Equity Roll-Ups in Home Services: What Owners Should Know

If you own an HVAC, plumbing, or electrical business, you’ve probably gotten the calls and letters: private equity wants to buy you. PE has poured billions into rolling up home services, and the offers can be life-changing — or traps. Here’s what owners should understand about the roll-up wave before they answer.

This is general information, not financial, legal, or M&A advice. Deals are complex and personal — engage an M&A advisor and attorney before entertaining any offer.

Why PE is buying home services

Private equity loves home services for a few reasons: the market is fragmented (thousands of small shops to consolidate), demand is recession-resistant and recurring (people always need heat, water, and power), and there’s a powerful multiple arbitrage. Here’s the core math:

  • Small shops sell for roughly 3–8× earnings (valuation multiples).
  • Assembled PE platforms exit at 17–20×+ EBITDA.

Buy dozens of shops at 5–8× and sell the combined platform at ~18×, and the spread is the profit. That arbitrage is what funds the whole roll-up. Big backers (Apollo, Blackstone, Bain, Goldman, and others) are behind national platforms doing exactly this.

What a PE deal typically looks like

Offers usually aren’t all cash. A common structure:

  • 50–70% cash at close.
  • 10–15% earnout — contingent on hitting future targets.
  • 15–30% rollover equity — you keep a stake in the platform, which pays off (or doesn’t) at the platform’s next sale.

That rollover equity is the wildcard — it can be very lucrative if the platform’s second exit goes well, or worth far less if it doesn’t. Understand it fully.

The honest pros and cons for owners

Upside

  • A meaningful liquidity event — real money for what you built.
  • Access to capital, systems, and buying power.
  • A potential second payday via rollover equity.

Watch-outs

  • You likely lose control and autonomy.
  • Earnouts and rollover carry real risk — the guaranteed cash is what’s certain.
  • Culture and your team’s experience can change under new ownership.
  • The buyer is sophisticated; you need equally sophisticated advisors.

Whether you sell or not, build value

The same things that earn a good PE offer also make your business better to own: recurring revenue, clean books, owner-independence, and a strong reputation (preparing to sell). You don’t have to sell to benefit from building enterprise value.

Reputation is value PE pays for

Acquirers pay up for a business with a strong, transferable brand and a proven review engine that keeps generating customers post-sale. Every review you build is enterprise value — whether you sell to PE or keep growing. Tailwind builds that asset automatically — see how it works.
